Terms & Conditions (placing an Advertisement)

1.      Definitions

1.1.            In these terms and conditions, the following definitions have the following meanings:

1.1.1.                  “Advertisement”             means any written or pictorial representation which describes or relates to a vehicle being offered for sale appearing on the Website;

1.1.2.                  “Terms”                          means the terms and conditions set out below;

1.1.3.                  "we”, “us” or “our"          means Lease Finance Limited with a company number 2408059 whose registered office address is at Hollybank, Harmer Hill, Shrewsbury, SY4 3DZ;

1.1.4.                  "Website"                       means the website at www.freetruckingads.com or such other website which we may use and notify you of from time to time;

1.1.5.                  "you" or "your"               means the individual or company submitting an  Advertisment for display on the Website.

 

2.      Registration details

2.1.            To gain access to certain services on the Website you will need to register your details with us. Registration is free of charge.

2.2.            As part of the registration process, you will be asked to provide a valid e-mail address as your username and choose a password. You agree that you will not attempt to register in the name of any other third party or adopt a username with we deem to be offensive.

2.3.            You agree that the information supplied with your registration will be truthful, accurate and complete.

2.4.            All personal information supplied by you as part of the registration process will be protected and used in accordance with the terms of our general privacy policy. In proceeding with your registration, you are confirming your acceptance of our privacy policy terms.  

 

3.      Submission of Advertisements

3.1.            In placing an Advertisement either directly onto the Website or providing us with details relating to a vehicle you wish to sell, you warrant that:-

3.1.1.                  you are the owner of the vehicle or have the consent of the owner to place an Advertisement in respect of the vehicle on our Website and accordingly have the right to sell the vehicle;

3.1.2.                  the content of the Advertisement you provide is true and accurate at the time of submission including but not limited to any vehicle description or representations as to the condition or quality of the vehicle;

3.1.3.                  you are either :

3.1.3.1.                        the owner; or

3.1.3.2.                        have the consent of the owner of the copyright

in respect of any photograph you submit to us for use on the Website;

3.1.4.                  we may display, use or reproduce any photograph or image submitted to us on the Website as we see fit.

3.2.            On submission of your Advertisement, you will provide us with a sale price for the vehicle and agree that we can publish finance lease figures next to the Advertisement which will be calculated on the sale price you have supplied.

3.3.            If you receive any enquiry directly from a prospective purchaser, in relation to the published finance figures referred to in condition 2.2 above, you agree to refer that prospective purchaser directly to us to deal with their enquiries.

 

4.      Sale of a vehicle

4.1.            Where you are contacted by a third party in response to the Advertisement on the Website and subsequently sell the vehicle, you will notify us as soon as possible that the vehicle has been sold so we can remove the Advertisement from the Website.

4.2.            Where we are contacted either directly or indirectly by a third party wishing to purchase the vehicle in your Advertisement on the basis that we provide them with finance, you will assist us in arranging for the transfer of the ownership of the vehicle to a leasing company and sign any documents necessary to effect such transfer of ownership.

 

5.      Our Liability

5.1.   We shall be entitled to review all Advertisements you submit before they are uploaded on to the Website and may make any amendments we deem fit in our discretion.

5.2.   We make no representations that on submitting an Advertisement to us that your vehicle will be sold or have any prominence of position on our Website or that the vehicle in the Advertisement will be sold as a result of appearing on the Website.

5.3.   We shall have no liability to you whatsoever, save for death or personal injury caused by our negligence for any loss or damage you may or have suffered as a result of placing any Advertisement on our Website.

 

6.      Your Liability

6.1.   You agree to hold us harmless and reimburse us in full, for any damages we may suffer or losses incurred in respect of any claims, demands or actions, including reasonable legal fees brought against us by any third party visitor to the Website due to or arising as a result from either:-

6.1.1.  your breach of these Terms, any applicable law or the rights of any third party;

6.1.2.  any representations made expressly or impliedly in the content  of  your    Advertisement; or

6.1.3.  the subsequent sale of your vehicle as a consequence of the  Advertisement;

6.1.4.  or as a result of any errors or omissions in your  Advertisement for which you are at fault notwithstanding those changes we may make in editing your Advertisement.

 

7.      Termination

7.1.   We shall be entitled in our absolute discretion and upon giving you written notice of our intention to either to terminate the contract or to withhold, vary or suspend performance of all or any of our obligations under the Contract for the display of your Advertisement  on the Website if any one (or more) of the following events occur:-

7.1.1.  if you shall commit any breach of any term of the Contract (and where you have failed to remedy such breach (where capable of remedy) within 30 days of being notified by us of the existence of the breach);

7.1.2.  if we receive any complaints about your Advertisement from a third party;

7.1.3.  if we have any doubts as to your solvency or become bankrupt or insolvent;

7.2.   In the event of any change of control of either you or us, the other party will be entitled to terminate the contract within 5 working days by providing written notice to the other party of their intention to do so.

 

8.      General

8.1.            We reserve the right to assign or subcontract any or all of our rights and obligations under these terms and conditions to a third party. If we exercise this right, we shall name the assignee or subcontractor on the Website. However, as your account details are personal to you we ask that you do not assign or dispose of any rights or obligations arising under these Terms without obtaining our prior written consent.

8.2.            These Terms, together with our privacy policy form the basis of the contract between us to the exclusion of any terms which you may attempt to impose or any other prior arrangements, agreements, statements and understandings except in respect of any fraud or fraudulent representation. We are only a finance broker offering finance to you where you wish to purchase a vehicle on the lease finance terms we offer.

8.3.            These Terms do not confer any benefit on any third party other then you.

8.4.            If any of these Terms shall be held to be invalid or unenforceable, it shall not affect the enforceability of any of the remaining provisions.

8.6              These Terms shall be governed by and in accordance with English law and subject to the non-exclusive jurisdiction of the English Courts.

2.      Website use

2.1.            We ask that you take the time to read through these Terms before using the Website because by accessing and using the Website you will be deemed as having accepted the Terms that apply to the Website’s use, facilities and services. Where you do not accept our Terms we request that you do not use the Website.

2.2.            We may amend and update these Terms from time to time and we recommend that you review the terms each time you access the Website identify any changes that may have been made as continued use of the Website shall constitute acceptance of the new Terms.

2.3.            If we find you in breach any of the Terms we may suspend your log-in access or the display of an Advertisement on the Website that you have submitted to us for such period as we deem appropriate in the circumstances or until any such breach has been corrected to our satisfaction.   

 

3.      Website content

3.1.            Details:

You agree to use the Website only for the purposes of searching our Advertisements and that you will only use, reproduce and print materials comprising the results of such searches for your own personal, non-commercial purposes. In particular, you agree not to directly contact any third party who had posted an Advertisement on the Website other than for the sole purpose of raising a genuine enquiry relating to the purchase by you of that third party’s vehicle.

3.2.            Inaccuracies:

Whilst we try to ensure that the content of the Website is accurate and up to date it may contain technical inaccuracies and typographical errors including any prices quoted for the vehicles in the Advertisement. We will try to update and rectify any errors which we become aware of but accept no responsibility or liability to you for any reliance which you may place on such incorrect information contained in the Website.

3.3.            Liability for inaccuracies:

In addition to condition 3.2 above, the content of the Advertisements appearing on the Website has been created by third parties and whilst we have checks in place to monitor the content submitted we will not be responsible or have any liability for any errors, omissions or inaccuracies appearing in such Advertisement and we make no guarantee to you that the results of any search you carry out on the Website will be complete or comprehensive.

3.4.            Information:

The content of the material in the Website is only for information purposes only and to advertise vehicles to be sold by third parties. The Website does not constitute any advice, recommendations of any kind or an offer to purchase any of the vehicles appearing on the Website and you should not rely on any material on the Website to make (or refrain from making) any decision or take (or refrain from taking) any action.

3.5              Representations:

As such we give no warranties, conditions, guarantees or representations, express or implied, as to the ownership, quality, authenticity of any photographs, compliance with description or fitness for purpose of any vehicles appearing in an Advertisement on the Website; 

 

4.      Copyright and trade marks

4.1.            We own or have obtained licenses for consent to use all trade marks, names, and logos appearing on our Website, save for those which are owned by a third party in respect of any vehicle brands in addition to any other intellectual property rights including but not limited to copyright existing in the content and layout of the Website and all database rights in our database of vehicles.

4.2.            The third party placing the Advertisement has provided us with consent to use the photographs of any vehicles displayed on the Website from time to time and as such, all rights contained in the photographs are owned or controlled for these purposes by us.

4.3.            Nothing in these Terms in any way confers to you any licence or right to use any trade marks, names or logos appearing on the Website and except as expressly permitted by these Terms, you may not copy, reproduce, redistribute, download, republish, transmit, display, adapt, alter, create derivative works from or otherwise extract or re-utilise any of the contents of the Website. In particular, you must not cache any of the contents for access by third parties nor mirror or frame any of the content of the Website nor incorporate it into another website without our express written permission. 

 

5.      Liability

5.1.            We may need to carry out routine maintenance and servicing of our servers and equipment from time to time. Whilst we shall seek to keep disruption to a minimum we cannot guarantee that the Website will be continuously available on-line. We therefore provide the Website on an "as is" and "as available" basis.

5.2.            We make no warranty that the Website (or websites which are linked to the Website) is free from computer viruses or any other malicious or impairing computer programs. It is your responsibility to ensure that you use appropriate virus checking software before uploading the contents of our Website onto your computer.

5.3.            We are not liable for any failure to perform any of our obligations under these Terms as a result of matters beyond our reasonable control.

5.4.            As the purpose of the Website is in provided in accordance with 3.4 and 3.5 it is reasonable that we should have no liability to you for any damages or losses which you may suffer as a resulting from the purchase of, or interest in, any vehicle contained in an Advertisement, or from your use of the Website generally, save for death or personal injury which suffered as a result of our negligence for which out liability shall be unlimited. 

 

6.      Links to other websites

The Website may contain hypertext links to a website that is not operated or controlled by us. We are therefore not responsible for any content which may appear on that website. Any inclusion of hypertext links to such a website does not imply any endorsement or sponsorship of the material contained on the website or of the owners by us. 

 

7.      General

7.1.            We reserve the right to assign or subcontract any or all of our rights and obligations under these terms and conditions to a third party. If we exercise this right, we shall name the assignee or subcontractor on the Website.
